It has come to our attention that certain misleading statements have been made regarding our company, Omega World, Inc. We are gravely concerned and this is absolutely critical for board of directors and shareholders of Omega Tender to understand the following:
오메가월드Inc.는 당사에 관한 잘못된 사항들이 공지되어 있음을 인지하게 되었으며, 이러한 심각한 문제점들에 대하여 ㈜오메가텐더의 이사와 주주들에게 아래사항들을 인지하도록 통보함:
- Omega World and Omega Tender are two independent companies with different board of directors and shareholders. Sang Yong Micle Kim is a major shareholder of Omega World and Omega Tender, but that does not change the fact that these two companies are separate.
오메가월드 Inc.와 ㈜오메가텐더는 독립된 2개의 회사이므로, 이사진과 주주들이 다릅니다. 김상용씨는 오메가월드 Inc.와 ㈜오메가텐더의 대주주이지만, 본인만의 의지로는 아무것도 바꿀 수 없습니다.
- Omega World is not a subsidiary of Omega Tender. Omega Tender does not own any shares of Omega World.
㈜오메가텐더는 오메가월드 Inc.의 주식을 갖고 있지 않음은 물론, 오메가월드 Inc.가
㈜오메가텐더의 자회사도 아닙니다.
- Omega Tender has a patent covering the Republic of Korea and Omega World has the U.S. patent covering outside of the Republic of Korea.
㈜오메가텐더는 한국특허를 확보하고 있고, 오메가월드 Inc.는 한국 외의 지역을 커버하는 미국특허를 확보하고 있습니다.
- There is no merger agreement in place between Omega Tender and Omega World. It is important to know that any two separate companies cannot merge without the approval from the board of directors of each company and the “fairness opinion” by an independent third party.
오메가월드 Inc.와 ㈜오메가텐더 간에는 어떠한 합병에 관한 계약을 한 적이 없습니다.
이러한 계약은 이 2개 각자의 회사 이사진들의 결정과 제3자의 “공정한 의견”이 합치하지 않고는 아무것도 이루어질 수 없습니다.
